The Payment Terms Generator builds terms from clauses that actually do work — statutory late-payment interest, a dispute window, retention of title, a suspension right — numbered so a clause can be cited rather than described.
"Please pay promptly" is not a payment term. It creates no deadline, no consequence and no right to anything, and when an invoice goes ninety days late it gives you nothing to point at. "Interest is charged under the Late Payment of Commercial Debts (Interest) Act 1998 at 8% above the Bank of England base rate" is a payment term, and the difference is entirely in whether the words do any work.
This builds a terms block from clauses that do. When payment is due, in any of five shapes. What happens when it is late, including the UK and EU statutory wording and flat or annual contractual rates. Early settlement discounts. How to pay and who bears the charges. A dispute window, so an unanswered query cannot postpone the whole invoice. Title and intellectual property retention until payment clears. And a suspension right, with notice.
The result is numbered, because a numbered clause is referable — "clause 3" is a far better conversation than "the bit about interest".
The UK 1998 Act and the EU directive, quoted correctly.
So a query on one line cannot postpone the whole invoice.
Goods, work and files stay yours until payment clears.
With notice — one of the most effective clauses a small supplier has.
"Clause 3" is a better conversation than "the bit about interest".
Net days, end of month, in advance, or by stage.
UK statutory, EU directive, or your own monthly or annual rate.
So a query on one line cannot postpone payment of the rest.
Goods, work or files stay yours until the invoice clears.
Straight onto the invoice, into a quote, or into your contract.
In the UK, statutory interest at 8% above the Bank of England base rate plus a fixed sum of £40, £70 or £100 on a commercial debt, whether or not your terms mention it. In the EU, 8 points above the ECB reference rate plus €40. Elsewhere it depends on your contract.
Terms should be agreed before the work, not introduced on the invoice — a term first seen on an invoice is very hard to enforce. Statutory rights are different: they apply regardless, and quoting them on the invoice simply makes the claim easier to press.
A clause requiring queries to be raised in writing within a set period, after which the invoice falls due in full. Without it, a query on one line of a twelve-line invoice can be used to delay the whole thing indefinitely.
Only if your terms say so, and even then you should give written notice. A suspension right with a stated notice period is one of the most effective clauses a small supplier can have, and one of the least common.
Yes. A numbered clause is referable in an email, in a reminder and in a claim. A paragraph of prose is not.
